Terms of Service

Last updated: September 19, 2026

1. Acceptance of Terms

By accessing or using the NovaPath Med Labs platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Description of Service

NovaPath Med Labs is a subscription-based learning platform that provides structured study content for medical laboratory technology students. The Service includes:

  • Access to published subjects and their ordered chapters

  • Progress tracking for chapter completion

  • Exams that unlock upon 100% chapter completion within a subject

  • Server-graded exam results with answer explanations

  • A personal dashboard showing learning progress

The Service is for educational and study support purposes only. Completion of any subject or exam on the platform does not confer professional certification, licensure, or any formal academic credential.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

The Service is intended for medical laboratory technology students and professionals. We make no representations that the content is appropriate or available for use in other jurisdictions.

4. Account Registration and Security

4.1 Account Creation

To access most features, you must create an account by providing a valid name, email address, and password. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at security@novapathmedlabs.com if you suspect unauthorized access to your account.

We are not liable for any loss or damage arising from unauthorized use of your account.

4.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent subscription limits, exam attempts, or other platform restrictions is prohibited and may result in account termination.

5. Subscriptions and Payment

5.1 Subscription Plans

The Service offers subscription-based access to chapters and exams. Available plans (monthly and yearly) and their pricing are displayed on the Pricing page.

5.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually) through Stripe. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

5.4 Refunds

Refund eligibility is governed by our Refund and Cancellation Policy.

5.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at your next billing cycle after the change is announced. We will provide reasonable advance notice of price increases.

5.6 Free Access

When subscription requirements are disabled (e.g., during development, promotional periods, or at the administrator's discretion), the Service may be accessible without a paid subscription. This does not entitle you to permanent free access and subscription requirements may be enabled at any time.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Share your account credentials with any third party or allow others to access the Service through your account.

  • Share exam content — reproducing, distributing, or disclosing exam questions, answers, or explanations to any third party or on any platform.

  • Cheat or manipulate exams — using automated tools, scripts, or any method to attempt exams on your behalf, or circumventing the exam grading system.

  • Scrape or extract content — systematically copying, scraping, or extracting chapter content, exam questions, or any other platform content for redistribution.

  • Reverse engineer — decompiling, disassembling, or reverse engineering any part of the Service.

  • Interfere with the Service — introducing malware, viruses, or any code that disrupts or damages the Service or its infrastructure.

  • Circumvent access controls — attempting to bypass subscription requirements, exam unlock gates, or any other access restriction on the platform.

  • Use the Service commercially — reselling, sublicensing, or using the Service for commercial purposes without our written consent.

  • Impersonate others — creating an account under a false identity or impersonating another person.

  • Abuse support channels — using contact forms, email, or other communication channels for spam, harassment, or unrelated purposes.

7. Intellectual Property

7.1 Our Content

All content on the Service — including but not limited to subjects, chapters, exam questions, answers, explanations, text, graphics, logos, trademarks, and software — is the property of NovaPath Med Labs or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes. This license does not include the right to copy, modify, distribute, sell, or lease any content from the Service.

7.2 Your Data

You retain ownership of any personal information you provide to us. By using the Service, you grant us a limited license to use your data solely for the purpose of operating and improving the Service.

7.3 Exam Content Restrictions

Exam questions, answers, and explanations are confidential. You agree not to reproduce, share, publish, or distribute exam content in any form. Violation of this restriction may result in immediate account termination and may expose you to legal liability.

8. User-Generated Content

The Service does not currently provide functionality for user-generated content (e.g., forums, comments, or uploads). If such features are added in the future, this section will be updated to govern your rights and responsibilities regarding any content you submit.

9. Academic Integrity

The Service is designed to support genuine learning. Exam attempts are logged with timestamps and are server-graded to ensure accuracy. We reserve the right to investigate suspected academic dishonesty, including:

  • Unusual patterns in exam attempts (e.g., impossibly fast completion times)

  • Multiple accounts accessing the same exam content

  • Evidence of exam content being shared externally

We may suspend or terminate accounts suspected of academic dishonesty. We are not obligated to provide refunds for accounts terminated under this section.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.

  • The results obtained from the Service will be accurate or reliable.

  • The quality of any content, exams, or services obtained through the Service will meet your expectations.

  • Any errors in the Service will be corrected.

The Service is for educational study support only. It does not prepare you for, guarantee success on, or certify readiness for any professional examination, certification, or licensure in medical laboratory technology or any related field.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVAPATH MED LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, use, goodwill, or other intangible losses.

  • Damages resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; or (iv) unauthorized access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless NovaPath Med Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your profile settings or by contacting us. Termination does not entitle you to a refund of any prepaid subscription fees unless required by applicable law or covered under our Refund and Cancellation Policy.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we determine, in our sole judgment, violates these Terms, is harmful to other users, or is harmful to our business interests.

Upon termination:

  • Your right to access the Service ceases immediately.

  • We may retain your data as required by law or for legitimate business purposes.

  • Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, indemnification, and dispute resolution).

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@novapathmedlabs.com and attempt to resolve the dispute informally for at least thirty (30) days.

14.3 Arbitration

Any dispute arising from or relating to these Terms that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules. The arbitration shall be conducted in Ontario, Canada, in the English language.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against NovaPath Med Labs.

15. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and Refund and Cancellation Policy, constitute the entire agreement between you and NovaPath Med Labs regarding the Service.

  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

  • Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

  • Force Majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, government actions, or internet disruptions.

  • Notices. We may send you notices through the Service, by email, or by any other reasonable means. You may send notices to us at the email address listed in the Contact section.
